- lettering on certificate reads: "No. 1/20 SHARES/Bishop-Barker Aeroplanes, Limited/AUTHORIZED CAPITAL: $300,000 DIVIDED INTO 1000 CUMULATIVE PREFERENCE SHARES/AND 2000 COMMON SHARES, ALL OF $100.00 EACH./This is to certify that R.F. McRae/is the owner of Twenty fully paid Preference shares of One Hundred Dollars/each in the capital stock of Bishop-Barker Aeroplanes, Limited, transferable only on the books of the Company/by the owner in person or by attorney upon surrender of this Certificate properly endorsed. Preference shares/are entitled out of any and all surplus profits whenever ascertained to cumulative dividends at the rate of seven/per centum per annum in each and every year on the paid up portion thereof in preference and priority to any/payments on dividends on the Common or ordinary shares. If in any year after providing for payment of full/dividends for such year on the Preference stock and any balance remaining due in respect of dividends on such/Preference stock for preceding years there shall remain any surplus profits, any and all such surplus profits not/in the opinion of the board of directors required to provide for the maintenance, improvement and operation of/the property and business of the Company or for the payment of its liabilities will be applicable to dividends/upon the Common shares for such year to the extent of but not exceeding seven per centum, the remainder of/any such surplus profits then being applicable to the payment of further dividends equally per share upon both/Preference and Common shares. On any division of capital or assets among the shareholders, Preference shares/are entitled pro rata to repayment in full at par together with any accrued and unpaid preferential dividends/thereon in preference or priority to any payment to the holder of the ordinary or Common shares./In witness whereof the Company has caused this Certificate to be signed by its duly/authorized officers this 25th February, 1920/R.E.
